The Position

The ideal candidate will be responsible for drafting and reviewing contracts, managing disputes and litigation, as required. The ideal candidate will support all legal matters within the Company, including with respect to contractual agreements, litigation, and managing outside counsel resources as necessary, providing legal advice, interpretation, and guidance to management and officers regarding associated legal business matters.

Duties & Responsibilities:

  • Contracts and Corporate Law
  • Oversee the drafting, negotiation, and execution of various contracts, ensuring compliance and risk mitigation.
  • Manages alerts, termination and renewals of existing contracts.
  • Organizes and maintains contractual records and documentation such as receipt and control of all contract correspondence, contractual changes, status reports and other documents.
  • Incorporates contract amendments, renegotiating contracts, if required, to accommodate scope changes or changes in organization requirements.
  • Maintains standard contract forms.
  • Monitors compliance by company employees with established legal procedures.
  • Coordinates contractual insurance requirements.
  • Ensures that signed contracts are communicated to all relevant parties to provide contract visibility, awareness and interpretation to support implementation.
  • Monitors transaction compliance (milestones, deliverables, invoicing etc.).
  • Ensures contract close-out, extension or renewal.
  • Handles on-going issues and change management.
  • Manages communication with outside counsel regarding contract negotiation.
  • Ensures periodic review and updating of contracts with business owners.
  • Maintains appropriate documentation of contract development.
  • Acquires and maintains knowledge of the complex laws and regulations impacting business units.
  • Reviews liability provisions and assess risk management.
  • Regulatory, Litigation, and Disputes
  • Provides complex legal analysis of federal and state laws and regulations across multiple industries.
  • Finding ethical solutions to legal matters
  • Strategizing on how to resolve legal issues in a favorable and cost-effective manner.
  • Informing internal clients about legal options and letting them know the possible outcomes or threats.
  • Staying informed about any current legislation
  • Preparing legal documents in a timely and accurate manner
  • Assisting clients with the execution of agreements
  • Managing outside counsel in dispute and litigation management

Qualifications

  • Juris Doctor (JD) from accredited law school with active bar membership.
  • BAR Membership
  • A background in contract law is preferred.
  • 2-4 years' experience as a practicing attorney
  • Contract analysis, drafting, negotiation.
  • Redlining and managing commercial contracts
  • Strong project management skills with attention to detail and accuracy
  • Strong teamwork and client service skills; solution-oriented
  • Demonstrated ability to work in a fast-paced, growth-oriented atmosphere.
  • Regulatory experience preferred.
  • Litigation and dispute management experience preferred.
  • Knowledge of basic contract law principles and general corporate law.
  • Excellent negotiation, communication, and drafting skills.
  • Strong analytical and problem-solving abilities.
  • Ability to work independently and collaboratively with multiple teams in a fast-paced environment.
  • Detail-oriented with a commitment to delivering high-quality work.

Superior writing and oral communications skills; Excellent computer skills with high levels of competency in all Microsoft applications and Adobe Professional; excellent Internet skills; A strong sense of urgency; ability to prioritize and manage deadlines while juggling multiple customers and projects; Ability to gather information, problem solve, plan and organize; Ability to devise logical approaches and make suggestions to address complex issues; Have the ability to discern highly confidential materials and documents; Strong quantitative skills; Ability to work independently along with the ability to collaborate and communicate effective with business colleagues; Sound judgment.
