Purpose of the Job

The Legal Counsel provides advice and counsel on legal matters involving the Credit Union and reports to the Credit Union's General Counsel. The position has responsibilities involving managing collections litigation (including lawsuits for money judgment and repossession of collateral), managing outside collections counsel, contract review, compliance support, and representing the Credit Union in corporate legal matters as needed.

Essential Functions and Responsibilities

  • Coordinates the filing and successful completion of collections lawsuits including lawsuits for money judgments and repossession of collateral.
  • Attends hearings where needed to prosecute collections lawsuits.
  • Engages outside collections counsel when needed on more complicated and contested collections matters. In those matters, acts as a liaison between Truliant and outside legal counsel.
  • Establishes new outside legal counsel relationships for collections matters when needed.
  • Assists the General Counsel where needed with all non-collection legal matters
  • Assists the General Counsel with operational questions involving account opening and closing.
  • Assists the General Counsel with operational questions involving accounts with estate, trust and power of attorney issues.
  • Assists the General Counsel in negotiating, organizing, and supporting , the finalization and execution of all contracts and legal documents required in or relevant to the day-to-day activities of the organization, in order to protect the Credit Union's best interests.
  • Assists the General Counsel on advising and rendering opinions with respect to legal implications involved in establishing or revising company policies and required disclosures.
  • Assists the General Counsel in working with representatives from various departments on developing and modifying practices and procedures to conform to legal requirements.
  • Assists the General Counsel in providing legal advice and information to the Board of Directors.
  • Assists the General Counsel with the NCUA during annual examination periods, and any other quasi-supervisory setting.
  • Assists the General Counsel in the development of new/revised products and promotions to ensure compliance with applicable regulations, including developing necessary disclosures and documents.
  • Assists the General Counsel on researching and evaluating all regulatory changes for implications to the Credit Union and proposing implementation plans.
  • Assists the General Counsel in maintaining the Credit Union's regulatory compliance program.
  • Stays informed on and assists the General Counsel with Congressional and Legislative advocacy efforts affecting various Credit Union operations by researching and drafting comment letters and credit union communications with elected and other regulatory officials.
  • Manages duties of a Paralegal designated to assist with pursuing collections lawsuits and filings.
  • Participates in the annual review process, including writing and delivering reviews.

Knowledge, Skills, and Abilities

  • Must have ability to provide meaningful interpretation of laws, rules and regulations to all levels of the Credit Union
  • Must be able to research applicable regulations and provide in-depth analysis of their impact on the Credit Union
  • Must have a strong business sense and the ability to evaluate processes and develop workable solutions to issues
  • Must have strong project management skills
  • Must have excellent communication skills in English, both verbal and written
  • Must have strong PC skills, with intermediate knowledge on Microsoft Excel, Word, and Outlook
  • Must have superior interpersonal skills; ability to get along with diverse personalities; tactful, mature, flexible, compassionate
  • Must have the ability to make recommendations to effectively resolve problems or issues, by using judgment that is consistent with standards, practices, policies, procedures, regulation, or government law
  • Must be able to work under pressure of time deadlines
  • Must have ability to read and absorb numerous business-related publications and industry data
  • Must be resourceful and well organized, with strong attention to detail
  • Must have the ability to research and analyze various type of data information
  • Must be able to maintain confidentiality
  • Must be flexible and able to shift resources and priorities as required
  • Must be able to work in a general office environment
  • Should possess a strong commitment to providing excellent service to Truliant's members

Physical Requirements

  • Occasional standing, walking, bending, and stooping required
  • Must be able to sit at a desk for long periods of time and use a computer
  • Must be able to moderately lift or move up to 5 pounds and occasionally lift or move up to 10 pounds
  • Occasional travel required

Education and Background

  • Bachelor's degree, Juris Doctor, and license to practice law in at least one state are required; Master's degree preferred
  • Minimum of 5 years litigation experience required, 3 years of which are in collections matters
  • Minimum of 5 years' experience with UCC and contract law with knowledge of bankruptcy and collections law required
  • Must have courtroom experience and prior collections experience
  • Previous experience with powers of attorney, estate matters, and trusts preferred.
